1. Acceptance of Terms

By accessing and using Dhanayantra ("the Application"), you accept and agree to be bound by these Terms and Conditions and all applicable laws and regulations. If you do not agree to these terms, please do not use the Application.

These Terms constitute a legally binding agreement between you ("User" or "you") and Dhanayantra ("we," "us," or "our") concerning your access to and use of the Application, whether as a guest or registered user.

We reserve the right to modify these terms at any time. When we do, we will post the updated terms on this page and update the "Last Updated" date. Your continued use of the Application after any changes constitutes acceptance of those changes.

2. Educational Purpose and Disclaimer

IMPORTANT: Please read this section carefully.

Dhanayantra is designed exclusively for educational and informational purposes. The Application provides insights into astrology, planetary positions, celestial events, and geometric analysis as tools for learning and personal exploration.

3. User Responsibilities and Conduct

• You must notify us immediately of any unauthorized use of your account
• We are not liable for any loss or damage arising from your failure to maintain account security

4. License and Intellectual Property Rights

4.1 Ownership

All content, features, and functionality of the Application, including but not limited to:

• Text, graphics, logos, icons, and images
• Source code, object code, and software
• Algorithms and calculation methods
• User interface and design elements
• Databases and data compilations

are the exclusive property of Dhanayantra or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

4.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Application on devices you own or control
• Use the Application for personal, non-commercial, educational purposes
• Access and use the features and content as intended by the Application

4.3 Restrictions

You may NOT:

• Reproduce, distribute, modify, or create derivative works of the Application
• Publicly display, perform, republish, download, store, or transmit any material without prior written consent
• Use the Application for commercial purposes without a commercial license
• Remove, alter, or obscure any proprietary notices
• Transfer, sell, or sublicense your rights to the Application

"Dhanayantra" and associated logos are trademarks of Dhanayantra. You may not use these trademarks without our prior written permission.

5. Disclaimer of Warranties

THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DHANAYANTRA DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability: The Application is fit for any particular purpose
• Non-Infringement: The Application does not infringe any third-party rights
• Accuracy: The content, calculations, or data are accurate, complete, or reliable
• Availability: The Application will be uninterrupted, secure, or error-free
• Results: Use of the Application will achieve any particular results
• Defects: Any errors or defects will be corrected

You acknowledge that:

• Astrological and geometric methods are subjects of study and interpretation
• Calculations are provided for educational exploration only
• We do not guarantee the accuracy of astronomical data or calculations
• Technical issues, bugs, or errors may occur
• The Application may be temporarily unavailable due to maintenance or other factors
• Third-party services or integrations may fail or be discontinued

6. Limitation of Liability

IMPORTANT LIABILITY LIMITATION:

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DHANAYANTRA, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY:

• Indirect, Incidental, or Consequential Damages
• Special or Punitive Damages
• Loss of Profits or Revenues (whether direct or indirect)
• Loss of Data or Business Information
• Business Interruption
• Loss of Business Opportunity
• Trading or Investment Losses
• Loss of Use, Goodwill, or Other Intangible Losses

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Specific Limitations for Financial Decisions:

You acknowledge and agree that we are NOT liable for any financial losses, trading losses, or investment losses that may result from:

• Your use of or reliance on the Application
• Any decisions made based on information provided by the Application
• Any errors, inaccuracies, or omissions in the Application
• Any interruption or unavailability of the Application

Maximum Liability: In jurisdictions that do not allow the exclusion or limitation of liability, our liability shall be limited to the maximum extent permitted by law. In no event shall our total liability exceed the amount you paid us in the 12 months preceding the event giving rise to the liability, or $100, whichever is greater.

7. Indemnification

You agree to indemnify, defend, and hold harmless Dhanayantra and its officers, directors, employees, contractors, agents, licensors, suppliers, and affiliates from and against any and all:

• Claims, demands, actions, or proceedings
• Liabilities, damages, judgments, awards, or settlements
• Losses, costs, expenses, or fees (including reasonable attorneys' fees)

Arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Application
• Your violation of any rights of another person or entity
• Your violation of any applicable laws or regulations
• Any content you submit, post, or transmit through the Application
• Your breach of any representations or warranties made herein

8. Subscription and Payment Terms

8.1 Pricing and Payment

• All fees are in the currency specified at the time of purchase
• Prices are subject to change with reasonable notice
• Payment processing is handled by third-party payment processors
• You are responsible for all charges incurred under your account
• Prices may vary by region and platform

8.2 Subscriptions

• Subscriptions automatically renew unless cancelled before the renewal date
• You will be charged at the then-current price for your subscription period
• You can manage or cancel your subscription through your account settings or platform store
• Cancellation takes effect at the end of the current billing period

8.3 Refund Policy

Refunds are subject to the refund policy of the platform through which you purchased (App Store, Google Play, Microsoft Store, etc.):

• iOS and macOS: Subject to Apple's refund policy
• Android: Subject to Google Play's refund policy
• Windows: Subject to Microsoft Store's refund policy
• Direct purchases: Contact us within 14 days for refund consideration

8.4 Free Trial (If Applicable)

• Free trials are available only to new users
• Only one free trial per user
• You may cancel before the trial ends to avoid charges
• If not cancelled, you will be charged for a subscription

9. License Activation and Validation

If the Application requires a license key for activation:

• License keys are unique and non-transferable
• You may activate the Application on a limited number of devices
• License validation may require internet connectivity
• We reserve the right to deactivate licenses obtained fraudulently
• Lost or stolen license keys will be replaced at our discretion
• Sharing license keys is prohibited and may result in termination

10. User-Generated Content

If the Application allows you to post, submit, store, or transmit content:

10.1 License Grant

You grant Dhanayantra a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content.

10.2 Your Representations

You represent and warrant that:

• You own or have the necessary rights to the content you submit
• Your content does not violate any third-party rights
• Your content does not contain defamatory, obscene, or illegal material
• Your content complies with all applicable laws

10.3 Content Monitoring

We reserve the right (but have no obligation) to monitor, review, or remove any user content at our sole discretion, without notice.

11. Third-Party Links and Services

The Application may contain links to third-party websites, services, or resources that are not owned or controlled by Dhanayantra.

You acknowledge and agree that:

• We have no control over third-party content, privacy policies, or practices
• We do not endorse or assume responsibility for third-party services
• We are not liable for any damage or loss caused by third-party services
• Your interactions with third parties are solely between you and them
• Third-party terms and privacy policies apply to your use of their services

12. Updates and Modifications

12.1 Application Updates

• We may release updates, patches, or new versions of the Application
• Updates may be required for continued use
• We may discontinue support for older versions
• Automatic updates may be enabled by default

12.2 Feature Changes

• We may add, modify, or remove features at any time
• We may change pricing or subscription terms with notice
• We may limit or discontinue the Application at any time

13. Termination

13.1 Termination by Us

We reserve the right to suspend or terminate your access to the Application at any time, with or without notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users, us, or third parties
• Exposes us to legal liability
• Is inappropriate or unacceptable

13.2 Termination by You

You may terminate your use of the Application at any time by:

• Uninstalling the Application from all your devices
• Cancelling your subscription
• Deleting your account (if applicable)

13.3 Effect of Termination

Upon termination:

• Your right to use the Application immediately ceases
• You must cease all use and uninstall the Application
• We may delete your data (subject to our retention policies)
• Provisions that should survive (e.g., liability limitations) remain in effect

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes, claims, or controversies arising from these Terms or your use of the Application shall be subject to the exclusive jurisdiction of the courts located in Palakkad, Kerala, India.

If you are a consumer in the European Union, you may have the right to bring proceedings in your country of residence.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal claim, you agree to contact us at support@dhanayantra.net to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

15.2 Arbitration (If Applicable)

If informal resolution fails, disputes may be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India in Palakkad, Kerala, except as provided otherwise in these Terms.

You waive any right to a jury trial or to participate in a class action or class arbitration.

Opt-Out: You may opt out of arbitration by sending written notice to us within 30 days of first accepting these Terms.

16. Severability and Waiver

16.1 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

16.2 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on or in the Application, constitute the entire agreement between you and Dhanayantra concerning your use of the Application.

These Terms supersede all prior or contemporaneous communications, proposals, and agreements (whether oral, written, or electronic) between you and us.

18. Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice.

Any attempted assignment in violation of this section shall be void.

19. Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
